Position Overview

We are looking for an experienced in-house counsel to provide legal advice to the executive team, manage the Legal Affairs team and oversee all legal activities across the business, from M&A to IP to negotiating customer agreements. The Legal Affairs team partners closely with every department in the company to enable the achievement of business objectives by providing sound legal advice in a timely manner. As General Counsel, you will liaise with outside counsel as needed for certain expertise, but also take opportunities to reduce reliance on outside counsel.

You will bring a commercial lens to the day-to-day contracting operation and deploy a thoughtful, pragmatic, and creative approach to striking business deals which are in the company's best interests and aligned with customer goals. You will bring a balanced perspective to cross-departmental conversations to flag business and legal risks but also offer up solutions to mitigate these risks and allow the company to move forward with its business objectives.

As General Counsel, you will be relied on to advise the executive team and partner closely with exec team members to enable responsible growth in a fast-paced environment. You will report directly to the CEO (dotted line reporting to the CFO).

This role will give you broad exposure and ability to impact the company's highest priority strategic initiatives. You will play a key role in strategic projects such as international expansion planning, new product launches, M&A, strategic partnerships, etc. We are looking for an ambitious, thoughtful, collaborative leader to help accelerate the company's growth during a very exciting time for our business and our market.

Specific Roles & Responsibilities:

  • Oversee full spectrum of legal work, including customer contracting, IP, employment, M&A, partnerships, international distribution agreements, vendor/contractor relationships, insurance, etc.
  • Support M&A due diligence processes and post-close integration
  • Advise the executive team on legal and business issues to support the company's growth and mitigate risk
  • Manage the day-to-day legal operations and adopt systems and processes that will allow the function to scale and work as efficiently as possible
  • Work closely with Data Security Director to maintain a best-in-class data privacy and compliance program

Qualifications:

  • JD and admission to a state bar
  • 10+ years of combined experience at a top-tier law firm and/or in-house in a scaled environment
  • Expertise in drafting and negotiating commercial agreements
  • Experience managing other attorneys and legal staff
  • Experience working with high growth SaaS companies who store PII
  • Critical thinking, analytical and problem-solving abilities
  • Ability to self-direct and work through ambiguity in a fast-paced environment
  • Structured thinking, detail orientation, highly organized
  • Team building orientation - desire to grow and mentor a high performing team
  • Ability to multi-task and collaborate with multiple constituents across the organization
  • Excellent verbal and written communication (including ability to facilitate effective executive level and board level discussions)
  • Adaptability and willingness to change direction based on the needs of a high growth business
  • Extreme ownership and commitment to getting deliverables done on-time
  • Team player willing and able to put in extra time as needed to support critical company deliverables
